Baetoti Terms and Conditions

1. Acceptance

Thank You for using the Baetoti Website (the “Site”) and Application (the, “Platform”)

PLEASE READ THESE TERMS AND CONDITIONS (“Terms”) CAREFULLY. THIS TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN A USER (“you”) AND BAETOTI (“we”, “us”, “our”) CONCERNING YOUR USE OF OUR SITE, PLATFORM AND OTHER SERVICES (collectively, “Baetoti Services”).

By accessing or using the Baetoti Site or Platform, you are agreeing to these Terms and concluding a legally binding contract with (Company AFAQ AL TOUASIL Commercial) “Communication Horizons LLC” and/or its affiliates. You may not use the Services if you do not accept the Terms or are unable to be bound by the Terms. Your use of the Baetoti Site and Platform is at your own risk, including the risk that you might be exposed to content that is objectionable, or otherwise inappropriate.

By using the Baetoti Services in any manner, you agree to be bound by these Terms, as well as the Terms incorporated by reference identified below (collectively, the “Terms”). If you do not agree to the Terms, then you are requested to not use the Baetoti Services. If you are accepting these Terms on behalf of an entity, person, or other legal entity, you represent and warrant that (a) you are authorized to do so, (b) the entity agrees to be legally bound by the Terms, and (c) neither you nor such entity is barred from using the Services or accepting the Terms under the laws of the applicable jurisdiction.

2. Scope

These Terms sets out the terms and conditions based on which Baetoti, a Saudi Arabia corporation, and its affiliates offer the services available through the Website and Baetoti Platform to Users. The Site and Baetoti Platform shall act as an aggregator that provides a safe platform for third-party Service Providers to connect with clients/customers and acquire their goods or services online (the, “Services”). This Baetoti Platform and Site are only intended for communication whereby Users may meet and interact with one another for the purpose of the sale and purchase of services. Baetoti does not buy or sell services and is neither associated with any Service Provider or Client.

3. Minimum Age

All services, the Site and the Baetoti Platform App are available only to persons who are over the age of majority and can form legally binding contracts under the applicable law. Without limiting the preceding, the Site and the Baetoti Platform are not intended to be used by individuals under the age of 18. If you do not qualify, please do not access the Site and Baetoti Platform.

4. Service Content

The Content on these Services is for informational purposes only. Baetoti disclaims any liability for any information that may have become outdated since the last time the particular piece of information was updated. Baetoti further reserves the right to make changes and corrections to any part of the Content on these Services at any time without prior notice. Baetoti does not guarantee the quality of the goods, services, prices listed in postings or the availability of all Services at any Service Provider. Unless stated otherwise, all pictures and information contained on these Services are believed to be owned by or licensed to Baetoti. Please email a takedown request (by using the "Contact Us" link on the home page) to the webmaster if you are the copyright owner of any Content on these Services and you think the use of the above material violates your copyright in any way. Please indicate the exact URL of the webpage in your request. All images shown here have been digitized by Baetoti. No other party is authorized to reproduce or republish these digital versions in any format whatsoever without Baetoti’s prior written permission.

Any certification, licenses or permits ("Certification") or information in regard to such Certification that may be displayed on the Service Provider’s listing page on the Baetoti Platform is for informational purposes only. Such Certification is displayed by Baetoti on an 'as available' basis that is provided to it by the Service Provider. Baetoti does not make any warranties about the validity, authenticity, reliability and accuracy of such Certification or any information displayed in this regard. Any reliance by a customer upon the Certification or information thereto shall be strictly at such customer's own risk and Baetoti in no manner shall assume any liability whatsoever for any losses or damages in connection with the use of this information or for any inaccuracy, invalidity or discrepancy in the Certification or non-compliance of any applicable local laws or regulations by the Service Provider.

‍5. Registration

To access Baetoti services is free, but Users (both, customers and Service Providers) will need to sign up and register for an account (each, a “User Account”) by providing personal or company information including names, contact details, email address, physical addresses, and other information we may require for accessing or using the service. When you create an account with Baetoti, you consent to receive updates, news or newsletter from us. You may unsubscribe from our mailing service at any time by clicking on the unsubscribe link included in the e-mails you receive from us.

You agree to provide accurate, current, and complete information. Maintaining the security and confidentiality of your account is your responsibility, and we are not responsible for any unlawful or unauthorized access to your account or any loss or damage in connection to that. You must notify us promptly if you think your login information has been compromised or no longer confidential. You shall not impersonate any user or unlawfully access anyone’s account.

You are not permitted to transfer or sell your User Account to another party. If you are registering as a business entity, you represent and warrant that you have the authority to bind the business entity to this Agreement.

6. Notice to Service Providers

By registering or using the Site or Baetoti Platform as a Service Provider to offer, post or provide a service, each Service provider represent and warrant that , and the employees, agents, contractors, and subcontractors who may perform work for you, are properly and fully qualified and experienced, and licensed, certified, bonded, and insured, as required by applicable laws or regulations and in relation to the specific job they are performing. Service Providers understand and agree that sending a quote does not guarantee the quote will be read, and using the Site does not guarantee they will be hired for work.

If you download or print a copy of Content for personal use, you must retain all copyright and other proprietary notices contained thereon. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Baetoti or its licensors, except for the licenses and rights expressly granted in these Terms.

In posting or submitting material about your business and services on the Site or Baetoti Platform, you warrant that, (a) all such material is not private and is intended for publication on the Site. You grant Baetoti the unrestricted right to use, reproduce, modify, translate and distribute any material you post or submit to the Site in any medium and for any purpose, including commercial uses; (b) all such material is truthful and accurate to the best of your knowledge; (c) You will not use obscene or offensive language or submit any material that is, or may potentially be, defamatory, abusive or hateful, an invasion of anyone's privacy, harmful to other users, harmful to the business interests of the Site, or encourages conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate any local, national or international law or regulation.

You agree not to post, or, to encourage or procure others to post comments and/or ratings about your business on the Platform which is untrue, inaccurate or misleading. You agree not to disclose your login details to third parties. If you do so, you are liable for any breach of these Terms and Conditions by third parties using your login details and the indemnity referred to in these terms is extended accordingly.

Booking and Purchase Procedure

‍Orders shall be booked using the Site or the Baetoti Platform
To book and place an order you shall login to your User Account, after completing the registration process described in these terms
The order process begins with selecting the most suited service from various postings and listings available on the Site and Baetoti’s Platform by clicking “BUY NOW” button. Service information is an invitation to enter into a contract.
A notification will be sent to you, in some certain circumstances, when you purchase an order, when the order accepted or rejected, when your order is processed for delivery, when your order is on transit and when your order will be ready for pickup.
Prices are quoted and do not include applicable taxes. All applicable taxes will be added to the price shown on the checkout page with complete disclosure.
You will then confirm your order by clicking the "CHECKOUT" button. It is equivalent making to the site an offer of conclusion of the contract of purchase (sale) of the ordered service and is associated with the obligation to pay for the selected service.

When customer books an item and makes a payment, the request is forwarded to the Service Provider for approval. The Service Provider can accept or reject the offer. If the provider approves the offer, the order starts and is listed in current orders. A notification of ‘your order has started’ is sent to the customer.

Delivery by provider or Pickup: If a Service Provider is also a delivery partner, then he will deliver the requested items in the Order to the Client’s delivery address. For such scenarios, the order will not be forwarded to other drivers for pickup.

Delivery by driver: If a Service Provider is not a delivery partner, then order will be forwarded to another delivery partner. A notification of “A delivery partner has been assigned to your order” shall be sent to the customer. Any fees (if charged) by the delivery partner shall be separately added to your final bill.

If the Service Provider disapproves the order, the order is rejected and is listed in canceled orders. A notification of ‘your order is rejected’ is sent to the client and total Payment (including the taxes) is refunded back to the customer.

Baetoti Charges / Payments

Baetoti charges a fee ("Baetoti Charges") to perform its obligations as an aggregator under these Terms. Current charges related to the quoting process will be shown in your User Account. Charges for additional services will be shown in policies or terms provided to you before you use such services. You agree to pay all Baetoti charges based on the charge and billing terms then in effect.

All sales and service purchases on the Site or the Baetoti Platform continue to be bipartite contracts between the Customer and the Service Provider, and Baetoti shall never be constituted a party to the same. Baetoti disclaims its liability and shall not hold any responsibility for any non-performance, breach or any other claim relating to or arising out of any contract entered into between any Customers and the Service Providers, or Users in general.

Should any complaints arise both party should try to resolve in dialogue but if not possible Baetoti will endeavor to settle the dispute between both parties. In case of a dispute, however, we shall only intervene if the User(s) notifies us of the dispute in a time span of one day (1) after the day in which the payment for any service was made.

You may be charged a delivery fee for delivery of your order by the delivery partner or the Service Provider as the Delivery Partner or the Service Provider Partner or the Store may determine (“Delivery Charges"). You agree that Baetoti is authorized to collect, on behalf of the Service Provider or the Delivery Partner the Delivery Charges for the delivery service provided by the Service Provider or the Delivery Partner, as the case may be. The Delivery Charges may vary from order to order, which may be determined on multiple factors which shall include but not be limited to location of the Service Provider, distance, demand surge, order value, and time of the day among other factors. Baetoti will inform you of the Delivery Charges that may apply to you, provided you will be responsible for Delivery Charges incurred for your order regardless of your awareness of such Delivery Charges.

Successful Orders payment amount to be transferred to the Service provider, Captain, User within two week.

9. Termination and Refunds

Both the users and we have the right to terminate any Service Agreement for any reason, including the ending of services that are already underway. No refunds shall be offered, where a Service is deemed to have started and is, for all intents and purposes, underway. Any payments that have been made to us, which constitute payment in respect of the provision of unused Services shall be not be refunded.

Any party can enjoy our full refund option, please endeavor to cancel an order within one (1) hour after placing the order and initial acceptance.

10. Representation and Warranties by Users

All users represent and warrant that:

You are at least the legal age of majority and are otherwise capable of entering into binding and enforceable contracts;
You have the authority, capacity, and the right to enter into this Agreement and to abide by its terms and conditions, and that you will do so at all times;
You have read, comprehended, and consented to be bound by these Terms and our Privacy Policy;
You will respect the privacy (including, but not limited to, personal, family, and household information) and data protection rights of Users with whom you communicate via the Baetoti Platform;
You will keep your commitments to other Users, communicate clearly and respectfully, provide or accept your services on time, and only use the third-party payment service provider specified or approved by Baetoti to make or receive payment via the Baetoti Platform;
You will act professionally and responsibly in your interaction with other Users at all times;
You will use your real or business name and shall not use a fictitious or alias name on your User Account; and
When you use or access the Baetoti Platform, including when preparing, packaging, delivering, providing, or receiving any of the listed services, you agree to abide by all applicable local and state laws and regulations and to act in good faith.

Further, Users agree not to use the Baetoti Platform for the following purposes such as to sell, post or otherwise transmit any content or information relating to a service offering or any other content that;

is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another person’s privacy, racial, hateful or otherwise objectionable;
Users have no legal or contractual or fiduciary authority to sell or transmit;
poses or creates a risk to a person's privacy or security;
infringes any party's intellectual property or other proprietary rights;
is unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, "junk mail," "spam," "contests," "sweepstakes," or any other form of solicitation;
contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;
is objectionable or restricts or inhibits any other person from using or enjoying the Service, or may expose Baetoti or its users to any harm or liability; or
in the sole judgement of Baetoti, is objectionable or restricts or inhibits any other person from using or enjoying the Service.

All users further agree to abstain themselves from;

Impersonating any person or entity, or falsely stating or otherwise misrepresenting your association or affiliation with a person or entity;
Soliciting personal information from anyone below the age of 18 years;
Harvesting or collecting email addresses or other contact information of other users from the Service or the Site or Baetoti Platform by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
Advertising or making an offer to sell or purchase any goods or services other than those that are allowed and legal to be sold in the territory of Saudi Arabia;
Interfering with or disrupting the Baetoti Service, its servers or networks, or disobeying any requirements, procedures, policies, or regulations of networks connected to the Baetoti Service; and
Violating any applicable local, state, national, or international law, as well as any enforceable regulations. ‍

11. Platform Use

Baetoti grants you the right to use the Baetoti Platform only for your personal use. You must comply with all applicable laws and third party terms of agreement when using the Baetoti Platform. Your download and use of the Platform is at your own discretion and Baetoti shall not be responsible for any issue in device functions, and other computer or device malfunction that User may incur during its use of Baetoti Platform.

12. User Rules of Conduct

Baetoti has the right, but not the obligation, to investigate any illegal or unauthorized use of the Site and Baetoti Platform. Upon investigation, appropriate legal action may be taken, including without limitation, civil, and injunctive relief. While utilizing the Services, User may not:

Post on baetoti Platform any links to any external Internet sites that are obscene or pornographic, or display pornographic or sexually explicit material of any kind;
Post on baetoti Platform or transmit through baetoti Platform any Content that violates or infringes another person’s intellectual property rights (including, but not limited to, third party music, videos, photos or other materials where you do not have written authority from the owner to post or transmit such documents);
Post or transmit any Content that contains any advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes or any other form of solicitation;
Reformat, frame or mirror any portion of any web page that is part of the service;
Post Content containing restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page);
Submit any Content that impersonates a person or entity, or falsely implies sponsorship or endorsement of such Content by Baetoti, its affiliates and/or any third party;
Transmit any viruses, worms, defects, Trojan horses or other items of a contaminating or destructive nature through the Baetoti Platform or otherwise attempts to interfere with the proper working of the service or the use and enjoyment of the baetoti Services by other users;
Promote any illegal or unauthorized copy of another person’s copyrighted work, such as providing pirated computer programs or videos or links to such works, or provide information to circumvent Baetoti installed copy-protect devices, or provide pirated music or links to pirated music files;
Submit Content or engage in any activity, that is libelous, defamatory, obscene, pornographic, abusive, harassing, threatening, unlawful, or violates the rights of any third party (including their rights of privacy or publicity) or that promotes or encourages any illegal activity, racism, bigotry, hatred, physical harm or discrimination of any kind against any group or individual; or
Harvest or collect e-mail addresses or other contact information of other users by electronic or other means.

12. Review and Feedback Guidelines

We know that our Users rely on customer reviews to make informed decisions about the services they use and Service Providers they work with. That's why we take great care to ensure that our reviews are non-biased and based on truth. To further ensure that, customers who leave reviews (“Reviewers”) adhere to the following criteria;

Reviewers should have firsthand knowledge of the individual or entity being reviewed;
Reviews should be free of offensive language, profanity, or abusive, racist, or hateful language; references to illegal activity; or references to religion, race, gender, national origin, age, marital status, sexual orientation, or disability;
Reviewers should not be affiliated with competitors when posting negative reviews; and
Reviewers may not make any false statements or organize a campaign encouraging others to post reviews, positive or negative. Baetoti does not endorse reviews and neither do they reflect our views or any of our affiliates or partners.
We make no representations or warranties regarding any review or any claims, liabilities, or losses resulting from any review. Any review that Reviewers submit will be categorized as User Content.

14. Listing and Selling

Listing Description: By listing an item/service on Baetoti Platform, you represent and warrant that both you and the item/service comply with our policies. Additionally, you warrant that you are legally permitted to sell the item. Your listing must accurately describe your item and all terms of sale. Your listings may only contain text descriptions, graphics, and photographs that are pertinent to the sale of that item/service. All items/services must be classified and tagged appropriately. Each listing must be accurate and comprehensive in its description of the item(s) for sale.
Sale Policies. All Service Providers are encouraged to outline their sale policies. These policies may cover a variety of topics, including shipping, returns, payment, and selling. Service Providers must establish reasonable policies in good faith and adhere to them. All shop policies must adhere to our Terms. Sellers are accountable for adhering to their own reasonable shop policies. Baetoti reserves the right to require sellers to modify their shop policies.

15. Intellectual Property Rights- Trademarks and Marks

Service Content, Software and Trademarks: You acknowledge and agree that our Service may contain content or features protected by copyright, trademark, trade secrets, or other proprietary rights and laws (collectively, “Intellectual Property Laws”). Unless expressly authorized by Baetoti, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Baetoti Service or the Content, in whole or in part, except for your own User Content that you legally upload to the Baetoti Platform. You will not engage in or use data mining, robots, scraping, or similar data gathering or extraction methods in connection with your use of the Service. If Baetoti restricts your access to the Service (including by blocking your IP address), you agree not to take any action to circumvent such restriction (e.g., by masking your IP address or using a proxy IP address or a VPN). Any use of the Baetoti Service or Content that is not expressly permitted herein is strictly prohibited. Baetoti, our affiliates, and our partners own the technology and software that underpins the Service or are distributed in connection with it (the "Software"). You agree not to copy, modify, create a derivative work from, reverse engineer, reverse assemble, or otherwise attempt to discover the source code for the Software, nor to sell, assign, sublicense, or otherwise transfer any right in the Software. Baetoti reserves all rights not expressly granted herein.
Name and Logo: Baetoti’s name and logo are registered trademarks and service marks (collectively the "Baetoti Trademarks"). Other Baetoti products, service names and logos that may be used and displayed on the Baetoti Platform or the Site are the trademarks or service marks of their respective owners, who may or may not be affiliated with or connected to us. Nothing in these Terms or the Service should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of Baetoti Trademark displayed on the Service, except with our prior written permission in each instance. All goodwill generated by the use of Baetoti Trademarks will be exclusively beneficial to us.
Removals: Baetoti will not be liable in any way for the content or materials of third parties (including Users), including, but not limited to, any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any such Content. You acknowledge that, while Baetoti does not pre-screen content, we and our designees reserve the right (but not the obligation) in our sole discretion to refuse or remove any content made available via the Baetoti Service. Without limiting the foregoing, Baetoti and its designees reserve the right to remove any content that violates these Terms or that we deem to be otherwise objectionable in our sole discretion. You agree that you are responsible for evaluating and accepting all risks associated with the use of any Content, including any reliance on its accuracy, completeness, or usefulness. Baetoti respects the intellectual property of others and requests the same of our users. If you believe that your work has been copied in a manner that constitutes copyright infringement or that your intellectual property rights have been violated in any other way, you should notify us of your claim via email at (info@baetoti.com). A complaint related to an infringement of the Copyright Law can be filed with the SAIP (see website, https://complaints.saip.gov.sa).

16. Indemnification

Users agree to indemnify, defend and hold Baetoti and its affiliates, and their respective officers, directors, owners, agents, information providers and licensors (collectively, the “Baetoti Parties”) harmless from and against any and all claims, liability, losses, damages, costs and expenses (including attorneys’ fees) incurred by any Baetoti Party in connection with;

Your use of, or connection to Baetoti Services;
Any use or alleged use of your accounts or your passwords by any person, whether or not authorized by you;
The Content, the quality, or the performance of Material that you submit;
Your violation of these Terms or the Baetoti Privacy Policy;
Your violation of the rights of any other person or entity; or
Your violation of any applicable laws, rules, or regulations.

Baetoti reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Baetoti’ defense of such claim.

No endorsement

Baetoti does not represent or endorse the accuracy or reliability of any Content or other material posted on any interactive area or elsewhere on the Baetoti Service, and you acknowledge that any reliance upon such Content or other Material shall be at your sole risk. Any Content or other Material placed on any interactive area by users represents the views of the user posting the statement and does not represent the views of Baetoti or its affiliates and designees.

The Services may contain links to sites on the Internet that are owned and operated by third parties (the “External Site(s)”). You acknowledge that Baetoti is not responsible for the availability of, or the content located on or through, any External Site, and that your use of such External Sites may be subject to a third party’s terms and conditions and privacy policy. Any third-party content or a link to a third-party site is not an endorsement of that Content or third-party site. You should contact the site administrator or webmaster for those External Sites if you have any concerns regarding such links or the Content located on such External Sites.

Typically, we do not directly sell, resell, or license any of the products or the services that we review, list, or advertise on our sites, and we disclaim any responsibility for or liability related to them. Your correspondence or related activities with third parties, including payment transactions and service’s-delivery transactions, are solely between you and that third party. All product and deal information such as discount, price and availability are believed to be accurate as of the time of publication and are subject to change. Please verify these details with the merchant site and check the merchant’s terms and conditions before you buy. You agree that we will not be responsible or liable for any loss or damage of any sort incurred as the result of any of your transactions with third parties. Any questions, complaints, or claims related to any product or service should be directed to our support team. However, in the event we do sell, resell, or license products or services, any terms and conditions related to your purchase or license of such products and services from us or any affiliates will be accessible on the applicable site page.

Please note that we may allow certain manufacturers to license, use and/or reprint a Baetoti trademark, logo, or a review in whole or in part, in its own marketing materials and advertisements in exchange for a license fee.

18. Electronic Communications

For contractual purposes, you (1) consent to receive communications from Baetoti in an electronic form such as e-mail, to provide exclusive deals, and promotion. (2) Agree that all terms and conditions, agreements, notices, disclosures, and other communications that Baetoti provides to you electronically via the platform and/or e-mail satisfy any legal requirement that such communications would satisfy if they were in writing.

19. User Ratings, and Feedback

Users agree that any submission of any ideas, suggestions, and/or proposals to the Baetoti through its suggestion, feedback page (“Feedback”) is at your own risk and that Baetoti has no obligations (including without limitation, obligations of confidentiality) with respect to such Feedback.

You represent and warrant that you have all rights necessary to submit the Feedback and you hereby grant to Baetoti a perpetual, irrevocable, transferable, fully paid, royalty-free, non-exclusive, worldwide, fully sublicensable right and license to use, copy, display, publish, modify, remove, publicly perform, translate, create derivative works, distribute and/or otherwise use such Feedback.

20. Disclaimers and Limitation of Liability

YOUR USE OF THE SITE AND BAETOTI PLATFORM, AND ALL LISTED SERVICES WILL BE AT YOUR OWN RISK AND ARE PROVIDED ON AN “AS IS”, “AS AVAILABLE” AND “WITH ALL FAULTS” BASIS. BAETOTI, ITS SUPPLIERS AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, CONDITIONS, REPRESENTATIONS, WHETHER STATUTORY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES, CONDITIONS AND REPRESENTATIONS OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BAETOTI MAKES NO WARRANTIES, CONDITIONS OR REPRESENTATIONS ABOUT (i) THE ABILITY OF THE SITE AND BAETOTI PLATFORM TO PERFORM WITHOUT LIMITATION OR RESTRICTION IN ANY GIVEN ENVIRONMENT, (ii) THE ACCURACY, COMPLETENESS, OR CONTENT OF THE WEBSITE AND APP, SERVICES, OR SOFTWARE, (iii) THE ACCURACY, COMPLETENESS, OR CONTENT OF ANY LINKED SITES (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE), AND/OR (iv) THIRD-PARTY PRODUCTS AND LINKS, AND CONSEQUENTLY BAETOTI ASSUMES NO LIABILITY OR RESPONSIBILITY IN CONNECTION THERETO.

THIS DISCLAIMER OF LIABILITY APPLIES TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, WHETHER FOR BREACH OF CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER CAUSE OF ACTION.

21. DISPUTE RESOLUTION; GOVERNING LAW AND ARBITRATION

Dispute with Baetoti

If you have a dispute with Baetoti, please contact us at Help Centrer in the mobile Platform or (Info@baetoti.com) and we shall use all reasonable endeavors at our end to ensure that the said issue is mutually mediated and negotiated and is ultimately resolved by and between us. Despite making reasonable efforts, if Parties’ fail to amicably resolve a dispute amongst each other, such dispute shall be resolved exclusively by final and binding arbitration, The arbitration shall be commenced upon invocation of arbitration via a written notice sent by either Party to a dispute.
Any dispute arising out of or in connection with this Agreement shall be finally settled by arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce (ICC).
The seat of arbitration shall be Riyadh, Saudi Arabia. The language of the arbitration shall be English.
The governing law of this Agreement shall be the laws of Saudi Arabia.

Dispute between Users

If you have a dispute with one or more Users, or with a third party, you agree to release Baetoti (and its officers, directors, agents, subsidiaries, joint ventures, and employees) from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. Baetoti strongly encourages users to report user-to-user disputes to Baetoti’s internal grievance redressal team via Help Center in Mobile Platform. Baetoti may attempt to assist users in resolving disputes for the benefit of users. Baetoti does so at its sole discretion and is not obligated to mediate disputes between users or between users and third parties. If Baetoti attempts to resolve a dispute, it will do so in good faith and solely in accordance with its policies. Baetoti will not and cannot make legal determinations or make claims.

Any disputes that cannot be resolved internally must be notified to the local law enforcement in Saudi Arabia for further action.

Compliance with applicable laws

It shall remain User’s responsibility to comply with all applicable laws, statutes, ordinances and regulations relating to your use of the Site and Baetoti Platform and related services and your listing, purchase, solicitation of offers to purchase, and sale of goods and services.

Baetoti charges certain Charges ("Baetoti Charges" or "Charges"). Current Charges related to the quoting process will be shown in your ("Account "). Charges for additional services will be shown in policies or terms provided to you before you use such services. You agree to pay all applicable charges based on the Charge and billing terms then in effect.

All sales and service purchases on the Site continue to be bipartite contracts between the Client and the Service Provider and as such we are not responsible for any non-performance, breach or any other claim relating to or arising out of any contract entered into between any Clients and the Service Providers. Baetoti is free from any complaints or disputes that may arise between a buyer and seller, who transact between themselves. Should any complaints arise both party should try to resolve in dialogue but if not possible Baetoti will endeavor to settle the dispute between both parties. By Accepting these Terms and Conditions, You acknowledge and agree that Baetoti provide this Application at your own discretion.

In case of a dispute, however, we shall try and intervene only if the Client notifies us of the dispute in a time span of three days (3) after the day in which the payment was made.

To book and place an order you shall login to your user’s account, after completing the registration process described in this terms”

You can login to your user account using the “LOGIN” button and filling your username and password.

After login to your user account you will need to add a payment into your wallet in your user account to enable you book and place your order.

The order process begins with selecting the right service from a catalog available on our App and website by clicking “BUY NOW” button. After selecting the service you will be redirected to the page with how to make the payment. Service information is an invitation to conclude a contract.

A notification will be sent to you, in some certain circumstances, when you add a payment to your wallet, when you purchase an order, when the order accepted or rejected, when your order is processed for delivery, when your order is on transit and when your order will be ready for pickup.

Prices are quoted and does not include the VAT.

The VAT applicable in your country (European Union) of residence will be added to the price.

You confirm your order by clicking the "CHECKOUT" button and it is equivalent making to the site an offer of conclusion of the contract of purchase (sale) of the ordered service and is associated with the obligation to pay for the selected service.

When a client books an item and makes a payment, the request is forwarded to the provider for approval. The provider can accept or reject the offer. If the provider approves the offer, the order starts and is listed in current orders. A notification of ‘your order has started’ is sent to the client.

Delivery by provider or Pickup: If a provider is a driver too, then he will deliver to the client house on his own. For such scenarios, the order will not be forwarded to other drivers for pickup.

Delivery by driver: If a provider is not a driver, then order will be forwarded to the driver’s. (Drivers can accept to pick up the item from provider’s location). A notification of “A driver has been assigned to your order”

If the provider disapproves the order, the order is rejected and is listed in canceled orders. A notification of ‘your order is rejected’ is sent to the client and total Payment goes back to User

The Services and Website and App are available only to persons who are the age of majority and can form legally binding contracts under applicable law. If you're accessing Baetoti Services from a mobile device using a Baetoti Mobile Application (the "Application"), the following terms and conditions ("Terms of Use") apply to you in addition to the applicable Mobile Privacy and Legal Notice or End User License Agreement, as the case may be. Your use of the Application confirms your agreement to these Terms of Use.

Baetoti grants you the right to use the Application only for your personal use. Your download and use of the Application is at your own discretion, sometimes, you might experience a slow in device functions, and other computer or device malfunction; the Baetoti application might not be cause of these. Buyers or users have a right to cancel an already placed order. But this can only be possible if the cancellation request was made within (1) hour after placing the order.
